2. Description of Service
Apragya is a software-as-a-service (SaaS) platform that enables organizations to design, build, deploy, and manage AI-powered agents and enterprise applications. The Service includes, but is not limited to, the visual agent builder, execution runtime, human- in-the-loop review workflows, analytics dashboards, team management, and API access.
We may update, modify, or discontinue any feature of the Service at any time with or without notice. We will make commercially reasonable efforts to notify you of material changes that may affect your use of the Service.
3. User Accounts
To access the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.
You must be at least 18 years of age to create an account. By creating an account, you represent and warrant that you are at least 18 years old and that all information you provide is truthful, accurate, and complete.
We reserve the right to suspend or terminate your account at our sole discretion if we believe you have violated these Terms or engaged in conduct that is harmful to other users, the Company, or third parties.

5. Intellectual Property
The Service, including all software, designs, text, graphics, logos, icons, and other content, is the property of Apragya and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
You retain ownership of all content, data, and AI agent configurations ("User Content") that you create, upload, or configure through the Service. By using the Service, you grant us a limited, non-exclusive license to use your User Content solely as necessary to provide and improve the Service.
6. Payment Terms
Certain features of the Service require a paid subscription. By subscribing to a paid plan, you agree to pay the applicable fees as described on our pricing page. All fees are quoted in US dollars unless otherwise stated.
Subscription fees are billed in advance on a monthly or annual basis depending on the plan you select. Your subscription will automatically renew at the end of each billing cycle unless you cancel before the renewal date.
We may change our pricing at any time. If we change the price of your current subscription, we will provide you with at least 30 days' advance notice. If you do not agree to the price change, you may cancel your subscription before the new price takes effect.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL APRAGYA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
Our total liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. APRAGYA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR- FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
AI-generated outputs from agents built on the platform may contain errors or inaccuracies. You acknowledge that you are solely responsible for reviewing, validating, and using any outputs generated by AI agents created through the Service.
10. Termination
You may terminate your account at any time by contacting us or through your account settings. We may terminate or suspend your access to the Service immediately, without prior notice, for any reason, including if you breach these Terms.
Upon termination, your right to use the Service will cease immediately. We will make your data available for export for a period of 30 days following termination. After that period, we may delete your data in accordance with our data retention policies.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.
12. Indemnification
You agree to indemnify and hold harmless Apragya, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
13. Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
